Welcome to Copilote IA Business ("Company", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of our AI-powered revenue optimization platform for restaurants, available at copilotebusiness.ai (the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Company Information

Copilote IA Business is an AI-powered SaaS platform that helps restaurants recover lost revenue through automated marketing campaigns, Google review management, customer reactivation, menu pricing optimization, and competitive intelligence.

2. Account Registration

To use the Platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

You must be at least 18 years old and have the legal authority to bind the business entity you represent.

3. Subscription Plans and Pricing

We offer the following subscription plans:

Starter: CHF 149/month — 1 restaurant, 500 emails/month, 200 SMS/month
Growth: CHF 279/month — up to 3 restaurants, 2,000 emails/month, 800 SMS/month
Pro: CHF 449/month — unlimited restaurants, unlimited emails and SMS

All prices are in Swiss Francs (CHF) and exclude applicable taxes.

4. Free Trial

New users receive a 14-day free trial on the Growth plan. During the trial, you have full access to all Growth plan features. At the end of the trial period, your account will require a paid subscription to continue using the Platform. No charges are made during the trial period unless you explicitly activate a paid plan.

5. Onboarding Fee

A one-time onboarding fee of CHF 299 is charged at the time of first subscription activation. This fee covers account setup, initial configuration, and first revenue audit. The onboarding fee is non-refundable once setup has been initiated.

6. Billing and Payment

Subscriptions are billed monthly in advance on a recurring basis.
Payment is processed through Stripe, a PCI-compliant payment processor.
You authorize us to charge your payment method on file for all applicable fees.
If payment fails, we may suspend access until payment is resolved.
Prices may change with 30 days' prior written notice.

7. Cancellation

You may cancel your subscription at any time through your account settings or by contacting hello@copilotebusiness.ai. Upon cancellation:

Your subscription remains active until the end of the current billing period.
No refunds are provided for partial months or unused time.
Your data will be retained for 30 days after cancellation, after which it may be permanently deleted.

8. AI-Generated Content and Results Disclaimer

The Platform uses artificial intelligence to generate marketing campaigns, recommendations, and analytics. We do not guarantee specific revenue outcomes, customer acquisition results, or business performance improvements.

AI-generated content (campaign messages, recommendations, scorecard results) is provided as suggestions. You are responsible for reviewing and approving all content before it is sent to your customers.

9. Communication Services

The Platform sends emails (via SendGrid) and SMS messages (via Twilio) on your behalf to your restaurant customers. By using these features, you confirm that:

You have obtained proper consent from your customers to receive marketing communications.
You comply with all applicable anti-spam laws (including GDPR, Swiss DPA, and CAN-SPAM).
You are solely responsible for the content sent through the Platform.

10. Intellectual Property

All rights, title, and interest in the Platform, including its software, design, algorithms, and documentation, are owned by Copilote IA Business. You are granted a limited, non-exclusive, non-transferable license to use the Platform for the duration of your subscription.

Content you create or upload (customer lists, menu items, restaurant data) remains your property. You grant us a limited license to process this data solely to provide the Platform services.

11. Limitation of Liability

To the maximum extent permitted by law:

The Platform is provided "as is" without warranties of any kind, express or implied.
We are not liable for indirect, incidental, special, consequential, or punitive damages.
Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
We are not responsible for revenue losses, missed campaigns, or business outcomes resulting from use of the Platform.

12. Termination

We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or use the Platform in a manner that is harmful, fraudulent, or illegal. Upon termination, your license to use the Platform ceases immediately.

13. Governing Law

These Terms are governed by the laws of Switzerland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Platform after changes constitutes acceptance.
